1. Acceptance of Terms
By creating an account or using DawaiDesk ("the Service", "Platform"), operated by the DawaiDesk team ("we", "us", "our") at https://dawaidesk.online, you ("Customer", "you") agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. The Service
DawaiDesk is a cloud-based business management platform for Indian pharmaceutical distributors, retailers, manufacturers, and medical representatives. Features include GST invoicing, inventory management, batch/expiry tracking, Schedule H registers, and related modules. Features available depend on the plan you subscribe to.
3. Account & Eligibility
- You must be at least 18 years old and legally capable of entering into binding contracts under Indian law.
- You must provide accurate business information during signup, including a valid GSTIN and Drug License number where required by law.
- You are responsible for maintaining the confidentiality of your password and for all activity under your account.
- You agree to notify us immediately of any unauthorised access at support@dawaidesk.online.
4. Trial, Subscription & Payment
- New customers receive a free trial of the duration specified in their chosen plan. No payment details are collected during signup.
- After the trial ends, continued use requires an active paid subscription. Plans are billed monthly or annually in advance in Indian Rupees (INR).
- Fees are exclusive of GST, which will be charged at the applicable rate.
- We may revise pricing with at least 30 days' written notice. Existing paid terms are honoured until renewal.
- Subscriptions auto-renew unless cancelled at least 7 days before renewal. Refunds are not issued for partial periods.
5. Customer Data & Ownership
- You retain all ownership rights to the data you enter into DawaiDesk ("Customer Data"), including products, parties, invoices, ledgers and batch information.
- You grant us a limited licence to host, process, back up, and display Customer Data solely for the purpose of providing the Service.
- On request, we will export your data in a machine-readable format (CSV / Tally XML) at any time during your subscription.
- After termination we retain your data for 30 days to allow export, after which it may be permanently deleted.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or to violate any Indian or foreign laws, including the Drugs and Cosmetics Act, 1940, and the Income Tax Act, 1961.
- Upload malicious code, attempt to breach security, or probe for vulnerabilities without written permission.
- Resell, white-label, or sublicense DawaiDesk without a separate written agreement.
- Use the Service to store or transmit content that is obscene, defamatory, or infringes third-party rights.
- Exceed reasonable usage limits (API calls, storage, users) for your plan.
Violation may result in suspension or termination without refund.
7. Compliance Responsibility
DawaiDesk is a tool. You remain solely responsible for the accuracy of your filings, tax returns, Schedule H/H1/X registers, drug licence renewals, and all statutory obligations. We do not provide legal, tax, or regulatory advice. Always verify reports with your Chartered Accountant and Drugs Inspector before submission.
8. Availability & Support
- We target 99.5% monthly uptime but do not guarantee uninterrupted service. Scheduled maintenance will be notified in advance where possible.
- Support is provided via email and WhatsApp during business hours (Mon–Sat, 9am–7pm IST). Critical issues are addressed on a best-effort 24×7 basis.
- We are not liable for downtime caused by factors outside our control (cloud provider outages, force majeure, DNS issues).
9. Intellectual Property
All rights to the DawaiDesk software, design, trademarks, and brand elements are owned by us. These Terms grant you a non-exclusive, non-transferable, revocable licence to use the Service for your internal business purposes only.
10. Termination
- You may cancel at any time from your account settings or by emailing us. Cancellation takes effect at the end of the current billing cycle.
- We may suspend or terminate your account for non-payment, breach of these Terms, or misuse of the Service.
- Upon termination, your right to use the Service ceases. Clauses 5, 9, 11, 12, and 13 survive termination.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or meet your specific requirements.
12. Limitation of Liability
To the maximum extent permitted by law, our total cumulative liability for any claims arising from or related to the Service shall not exceed the total fees paid by you to us in the three (3) months immediately preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill.
13. Indemnification
You agree to indemnify and hold harmless DawaiDesk and its operators from any claims, damages, liabilities, or expenses arising out of your Customer Data, your use of the Service, or your violation of these Terms or applicable law.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified via email or in-app banner at least 15 days before they take effect. Continued use after the effective date constitutes acceptance.
15. Governing Law & Jurisdiction
These Terms are governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of the courts at Mumbai, Maharashtra. Before initiating legal action, parties shall attempt good-faith resolution by written notice for at least 30 days.
